What is a limited liability company?

A limited liability company is a capital company and acquires legal personality upon registration in the National Court Register (KRS). It may be formed by one or more persons for any legally permissible purpose, subject to statutory exceptions. The share capital of a limited liability company must amount to at least PLN 5,000, and the nominal value of one share may not be lower than PLN 50.The company itself is liable for its obligations. Once the company has been formed, shareholders are, as a rule, not personally liable for those obligations; separate provisions may, however, impose liability on other persons, such as management board members, where the statutory conditions are met.

Legal basis: Articles 151–154 KSH and Article 12 KSH.
